These Partner Program Terms ("these Terms") govern participation in the AI Rule Engine Partner Program (the "Program"). They are accepted by the owner of an organization when applying to the Program, on behalf of that organization. By accepting them you confirm that you have authority to bind that organization and the business it represents. If you do not have that authority, or do not agree to these Terms, do not apply.

1. Parties and Definitions

These Terms are between TechGroups LLC, a Wisconsin limited liability company ("Company", "We", "Us"), and the business that applies to the Program ("Partner", "You").

  • Partner Organization means the organization in the AI Rule Engine product named in your application. Its Owners and Admins act for you in the Program.
  • Partner Portal means the Partner Portal screens of the product, reached from the Partner Organization's Administration menu.
  • Your Commercial Terms means the numbers recorded for your partnership when you are approved, such as your billing model, commission percentage and months, wholesale discount, platform fee, managed customer limit, the plans you may sell, and whether you have white-label branding and a custom domain. They are shown under "Your terms" in the Partner Portal and form part of these Terms.
  • Referral Partner means a Partner on the referral billing model, and White-label Partner a Partner on the wholesale billing model.
  • Referred Customer means an organization attributed to a Referral Partner, and Managed Customer an organization managed by a White-label Partner. Together they are "Customers".
  • Commission means an amount earned by a Referral Partner under Section 6, and the Commission Ledger the record of Commissions shown on the Commissions tab of the Partner Portal.
  • Wholesale Price means our list price for a plan less your wholesale discount, and Platform Fee the monthly fee, if any, in Your Commercial Terms.
  • Brand Assets means the product name, colours, logo, favicon, links, support details and other branding you provide, and Custom Domain a hostname you claim for the product.

2. Relationship to Other Terms

Your use of the product, including the Partner Organization, is governed by the AI Rule Engine Terms of Service and our Privacy Policy. Every Customer organization and its members remain bound by those same terms, whoever pays for the organization and whatever brand it sees. These Terms add to them for the Program. If these Terms and the Terms of Service conflict on a matter concerning the Program, these Terms control.

3. Applying and Approval

  • Only the owner of an organization may apply, and only for an organization they own. The information in your application must be accurate and kept up to date in the Partner Portal.
  • We may approve or reject an application, or approve it on Commercial Terms different from the tier you applied for, at our discretion. A rejected applicant may apply again after the waiting period the Program states at the time.
  • A partnership with no Platform Fee is active when we approve it. A partnership with a Platform Fee is active once the first month's fee has been paid. Nothing you prepare before then, such as branding or a Custom Domain, is shown to anyone until the partnership is active.
  • Your referral link name is fixed once you are approved. It stays reserved for you, and is never given to anybody else, even after your partnership ends.

4. Changes to the Program and to Your Commercial Terms

A. Your Commercial Terms

Your Commercial Terms are a copy taken when you are approved. A later change to the tier you applied for, or to the Program's default tiers, does not change them. We may change Your Commercial Terms by giving you at least thirty (30) days' notice. A change you agree to, or one that only benefits you, may take effect sooner. A change never alters a Commission already recorded: each Commission keeps the percentage in force when it was earned.

B. These Terms

We may publish a new version of these Terms on this page, with a new version identifier. We will give you at least thirty (30) days' notice of a new version that materially reduces your rights. Continuing in the Program after a new version takes effect means you accept it. If you do not, you may end your partnership under Section 14.

5. Referral Links and Attribution

A. How Attribution Works

  • A visitor who follows your referral link while your partnership is active is remembered in that browser for the attribution window the Program states (currently 30 days). If they follow another partner's link later, in the same browser, that link replaces yours.
  • An organization is attributed to you only when it is created in that browser within the window. Signing up alone attributes nothing, and an existing organization is never attributed by following a link.
  • An organization belongs to at most one partner, and its first attribution stands. Only we may move or detach an organization.
  • An organization is not attributed to you if it is your own, if the person creating it is a member of your Partner Organization in any role, if your partnership is not active, if you have reached your managed customer limit, or if it already belongs to a partner.
  • An organization created through a White-label Partner's link becomes a Managed Customer only if the person creating it agrees, at that moment, to be managed by you. If they decline, the organization is a direct customer of ours and is not attributed to you.
  • Our records of attribution are final, except for a clear error that you report to us under Section 7.D. Attribution depends on the visitor's browser, so we do not guarantee that every visitor you send will be attributed.

B. Promoting the Product

When you promote AI Rule Engine you must:

  • Describe the product, its pricing and your relationship with us accurately, and disclose that relationship wherever the law or a platform's rules require it.
  • Comply with all laws on marketing, advertising, consumer protection, privacy and electronic communications, including anti-spam laws.
  • Not refer yourself, your Partner Organization's members, or organizations you control in order to earn Commission.
  • Not set referral cookies or local storage without a visitor's deliberate click on your link, or otherwise manipulate attribution.
  • Not bid on "AI Rule Engine", "RuleEngine.ai" or confusingly similar terms in paid search, or register domain names, social media handles or app names containing them, without our written consent.
  • Not present yourself as us, or make any promise, warranty or commitment on our behalf.

6. Commissions (Referral Partners)

A. What Earns Commission

  • Each invoice a Referred Customer pays to us through Stripe within your commission window earns a Commission. The window starts when the organization is attributed to you and lasts for the number of months in Your Commercial Terms, or for the life of the customer if Your Commercial Terms say so. An invoice counts by the date it is paid.
  • The base is what the invoice actually collected, excluding taxes, after discounts. Plans, seats and add-ons all count.
  • Purchases of credits never earn Commission, and neither does revenue we do not bill through Stripe, such as a Referred Customer billed through the Azure Marketplace.
  • The Commission is the base multiplied by your commission percentage, rounded down to the cent, in the currency of the invoice.

B. Hold, Withheld and Void Commissions

  • Each Commission is on hold for the hold period the Program states (currently 30 days) and becomes payable when it ends.
  • A Commission earned while your partnership is suspended, or where the Referred Customer's owner is a member of your Partner Organization when the invoice is paid, is withheld. We review each withheld Commission and either release it, after which it becomes payable when its hold ends, or void it. A void Commission is never paid.
  • We may also withhold or void a Commission we reasonably believe was earned through a breach of these Terms, fraud, or a referral that does not reflect a genuine new customer.

C. Refunds and Disputes

If we refund an invoice in whole or in part, issue a credit note against it, or lose the funds to a payment dispute, a negative Commission takes back the matching share of that invoice's Commission, never more than it earned. If that money later comes back to us, an equal positive Commission restores what was taken. Negative Commissions reduce what we pay you, including a payout after the original Commission was paid.

7. Payouts and Taxes

A. Payouts

We pay payable Commissions, net of negative Commissions, approximately monthly, by bank transfer or another method we agree with you, in the currency each Commission was earned in. Where your payable balance in a currency is below the minimum payout the Program states (currently US$50 or its equivalent), we may carry it forward to a later payout. Each payout is recorded in the Partner Portal with its amount, method and reference.

B. Taxes

Before your first payout you must give us the tax documentation we reasonably request, such as an IRS Form W-9 or W-8BEN, and the payment details for the method we agree. We do not store bank or tax details in the product. You are responsible for all taxes on what you earn. We may withhold any amount the law requires us to withhold.

C. Overpayment

If we pay you an amount that was not owed, including a Commission later voided or reversed, we may deduct it from future payouts. If no future payout can cover it, for example because your partnership has ended, you will repay it within thirty (30) days of our request.

D. Questions About the Ledger

The Commission Ledger is our record of what you have earned and been paid. If you believe it is wrong, tell us within ninety (90) days of the entry concerned, with the details. We will review it in good faith and correct any error we find.

8. Managed Customers (White-label Partners)

A. Taking On Customers

A White-label Partner may create Managed Customers in the Partner Portal, or take them on through its sign-up link with the agreement described in Section 5.A, up to the managed customer limit in Your Commercial Terms. When you create a Managed Customer and name its owner, you confirm that the owner has asked you to create the organization and to manage it for them.

B. Plans, Prices and Billing

  • You choose each Managed Customer's plan from those Your Commercial Terms allow. We bill you the Wholesale Price for it, on the card saved for your Partner Organization, as a separate subscription for each customer. We may change our list prices, and with them Wholesale Prices, on notice as we do for our direct customers.
  • You set the prices you charge your Managed Customers yourself, independently, and you invoice and collect from them yourself. The product never shows them what you charge.
  • What you owe us does not depend on whether your customer pays you.
  • If a payment for a Managed Customer fails and stays unpaid after retries, that customer's plan ends and the organization moves to the Free plan, as it would for a direct customer.
  • The Platform Fee is billed monthly in advance, from the day your partnership becomes active, and is not refundable except where the law requires. If it goes unpaid, your partnership is suspended under Section 13.
  • Credits you transfer to a Managed Customer belong to that customer once transferred and cannot be taken back.

C. Your Agreement With Your Customers

You must have an agreement with each Managed Customer that covers the services you provide, your prices and your support, and that is consistent with these Terms and our Terms of Service. You must not grant your customers any right about the product that we have not granted, or make any commitment about its availability, security or performance on our behalf. You are responsible to your customers for the services you provide to them.

D. Support

You provide first-line support to your Managed Customers, through the support details in your Brand Assets. We support you, and we may contact your Managed Customers directly where security, the law or the operation of the product requires it.

E. Releasing a Customer

You may release a Managed Customer at any time while your partnership is active. It then moves to the Free plan, any subscription you pay for it ends, and it becomes a direct customer of ours. If a Managed Customer asks to leave your management, you will release it within thirty (30) days of the request. If you do not, or if your partnership has ended, we may release it ourselves.

F. Your Customers' Controls

You acknowledge that each Managed Customer's owners and admins may, at any time, block sign-in through your Custom Domain for their organization and sign out every session on it that has worked in their organization, and that every action taken in a customer's organization through your Custom Domain is recorded in that customer's audit log as having come through you. You must not discourage or obstruct a customer from using these controls.

9. Branding and Custom Domains (White-label Partners)

A. Your Brand Assets

You keep all rights in your Brand Assets. You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce and display them in the product, to your staff and your Customers, for as long as your partnership lasts. You confirm that you have the rights to grant that license, that your Brand Assets do not infringe anybody's rights or imitate another company's brand, and that the links and support details in them are yours and are kept working.

B. Takedown

We may take your Brand Assets down at any time if we reasonably believe they infringe someone's rights, imitate another company's brand, are unlawful or misleading, or put users at risk. A takedown removes your brand everywhere at once, stops sign-in through your Custom Domain, and permanently deletes your uploaded images. We will tell you the reason in the Partner Portal. You may correct the problem and ask us to lift it.

C. What Stays Ours

You may hide the "Powered by AI Rule Engine" notice only if Your Commercial Terms allow it. Some parts of the service always name AI Rule Engine whatever your brand, including the in-product legal pages, sign-in consent screens of identity providers, links the platform creates for running environments, invoices and receipts, and dedicated environments installed in a customer's own cloud subscription. Embedding the product inside another website or application is not part of the Program.

D. Custom Domains

You may claim a Custom Domain only on a domain you own or control, and you must keep the verification records we give you in place for as long as you use it. A Custom Domain goes live only when we activate it. We may decline to activate a Custom Domain, and we may deactivate or release it if its verification lapses, if your partnership is suspended or ends, if your Commercial Terms no longer include it, or to protect users. If a domain lapses, it goes live again only after we confirm with you that you still hold it.

10. Our Marks and Intellectual Property

While your partnership is active, we grant you a limited, non-exclusive, non-transferable, revocable license to use the AI Rule Engine name and marks to promote the product and describe your relationship with us, following any brand guidelines we give you. A White-label Partner may sell the product under its own brand, but must not claim to have created or to own the underlying platform. We keep all rights in the product, our marks and our materials, and nothing in these Terms transfers any of them to you. Any feedback you give us we may use freely.

11. Customer Data and Confidentiality

A. Referral Partners

Referral Partners do not receive Customer data. A Referred Customer is identified to you only by a masked reference.

B. White-label Partners

Your staff who are members of a Managed Customer's organization can see and change what their role there allows, and the Partner Portal shows you each Managed Customer's name, plan, usage and member count. Any data you reach through the Program belongs to the Customer concerned. You will:

  • Access and use it only to provide your services to that Customer, as the Customer has asked.
  • Keep it confidential, protect it with appropriate security measures, and not sell it, combine it with other data for your own purposes, or disclose it except as the Customer instructs or the law requires.
  • Comply with all data protection laws that apply to you, and enter into any data processing agreement the Customer is entitled to require of you.
  • Allow into your Partner Organization only people who need that access, and remain responsible for what they do.
  • Tell us without undue delay, and in any case within seventy-two (72) hours, after you become aware of unauthorized access to Customer data or to your Partner Organization's accounts.

C. Confidentiality

Each party will protect the other's non-public information received through the Program, including Your Commercial Terms, using reasonable care, and use it only for the Program, except where the law requires disclosure.

12. General Obligations

  • You will comply with all laws that apply to your participation, including anti-bribery and anti-corruption, export control and sanctions laws.
  • You are an independent contractor. Nothing in these Terms creates a partnership in the legal sense, a joint venture, agency, franchise or employment relationship, and you may not bind us to anything.
  • The Program is non-exclusive. Each party may work with others, including competitors of the other.
  • You bear your own costs of participating, unless we agree otherwise in writing.

13. Suspension

We may suspend your partnership if you breach these Terms, if a Platform Fee or a payment for a Managed Customer goes unpaid, if we reasonably suspect fraud or misuse, or if continuing would expose us, our customers or users to legal or security risk. Your partnership is suspended automatically if your Platform Fee subscription ends unpaid. While suspended:

  • Your referral link stops attributing new organizations, and Commissions earned are withheld under Section 6.B.
  • Sign-in through your Custom Domain is paused, and you cannot take on, release or change the plans of Managed Customers.
  • Your Customers keep their plans, their subscriptions and, unless we have taken it down, your brand.

We will tell you the reason in the Partner Portal and reinstate your partnership once it is resolved.

14. Term and Termination

A. Ending the Partnership

These Terms apply from your application until your partnership is closed. Either party may end the partnership for any reason by giving the other thirty (30) days' notice. We may end it with immediate effect if you materially breach these Terms and do not cure the breach within ten (10) days of our notice, or at once for fraud, a breach that cannot be cured, or a legal requirement.

B. What Happens on Closing

  • Every Managed Customer must be released before a partnership closes. Each then moves to the Free plan and becomes a direct customer of ours, and we may release them ourselves to close the partnership.
  • The Platform Fee ends. Your referral link stops attributing, your brand and Custom Domain stop, and your referral link name stays reserved.
  • No Commission is earned on invoices paid after the partnership closes. Commissions earned before it remain payable once their hold ends, unless the partnership was ended for your breach or fraud, in which case unpaid Commissions are forfeited.
  • Sections 6.C, 7, 8.B (for amounts owed), 10, 11, 14.B and 15 to 18 survive closing.

15. Disclaimers and Limitation of Liability

A. Disclaimers

The Program, the product and the Partner Portal are provided "AS IS" and "AS AVAILABLE". We do not guarantee any level of earnings, referrals or sales, and we make no warranties beyond those in the Terms of Service.

B. Limitation of Liability

To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, including lost profits or revenues, even if advised of their possibility. Our total liability arising out of the Program shall not exceed the greater of the Commissions we paid you and the amounts you paid us under the Program in the twelve (12) months before the claim. These limits do not apply to your obligations under Sections 11 and 16, or to amounts you owe us.

16. Indemnification

You will indemnify, defend and hold harmless TechGroups LLC, AI Rule Engine, its affiliates, officers, agents and employees from any claims, liabilities, damages and expenses arising out of your marketing, your agreements with and services to your Customers, your Brand Assets or Custom Domain, your handling of Customer data, or your breach of these Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wisconsin, USA, without regard to its conflict-of-law principles. Disputes are resolved as Section 11 of the Terms of Service provides: by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in Eau Claire, Wisconsin, before a single arbitrator, on an individual basis and not in a class, consolidated or representative action.

18. Notices and Miscellaneous

  • Notices: We give you notice in the Partner Portal or by email to the contact person or an Owner of your Partner Organization. You give us notice through our contact page.
  • Entire Agreement: These Terms, Your Commercial Terms, the Terms of Service and the Privacy Policy are the entire agreement about the Program, unless we sign a separate written agreement with you.
  • Assignment: You may not assign or transfer your partnership without our prior written consent. We may assign these Terms to a successor to our business.
  • Severability and Waiver: If any provision is unenforceable, the rest remains effective. Failure to enforce a provision is not a waiver of it.
  • Force Majeure: Neither party is liable for a delay or failure caused by events beyond its reasonable control, other than an obligation to pay.
